DENNISTON PARK NEIGHBORHOOD ASSOCIATION BYLAWS



ARTICLE I. Name and Purpose
The name of the association shall be the Denniston Park Neighborhood Association.
The association is organized and shall be operated exclusively for the charitable purpose of improving and beautifying the neighborhood, educating members in the prevention of residential crime and vandalism, and improving neighborhood and community relations.


ARTICLE II. Boundaries
The area includes:
North Boundary: Both sides of N.W. 27th Street
South Boundary: North side of N.W. 23rd Street
West Boundary: East side of I-44
East Boundary: West side of May Avenue


ARTICLE III. Membership
Section 1: Membership Composition: There shall be one class of membership. This membership shall be voting. Membership is open to any resident interested in the goals of the association and is limited to one membership per household in the prescribed boundaries.

Section 2: Dues: Annual dues shall be charged to all members. Dues will be set on an annual basis by the officers with the concurrence of the members in attendance at the annual meeting.

Section 3: Terms of Membership: Term of membership shall be one year in duration.

Section 4: Regular Meetings: Regular meetings shall be scheduled by the officers at least quarterly.

Section 5: Special Meetings: Any officer or any (10) members of the Association may schedule special meetings as deemed necessary to deal with situations not covered during a regular meeting time.

Section 6: Location of all Meetings: Member meetings shall be held either within the neighborhood or if no adequate facility is available, within a reasonable traveling distance of the neighborhood.

Section 7: Notice of Meetings: Notice of all meetings shall be written, state the place, day, hour, and subject of the meeting. This notice shall be delivered not less than 3 days and not more than 7 days before the date of the meeting either personally; mail; or e-mail.

ARTICLE IV. Officers and Block Captains
Section 1: General Powers: The affairs of the association shall be generally managed by the officers; however, approval of any expenditures over $50.00 shall require the approval of the majority of members at a regular of special meetings. Block captains will serve on a voluntary basis and assist the officers of the association in activities such as distribution of materials to the entire neighborhood, reporting on derelict property for their block, and attending the meetings on behalf of their block. If a block captain cannot attend a meeting or is unable to distribute material as needed, it will be their responsibility to find a replacement and notify at least one officer of their inability to be involved and who their replacement will be.

Section 2: Composition: The officer and the block captains will be residents of the neighborhood as outlined in the boundaries.

Section 3: Number: The officers of the association shall be a President, a Vice-President, a Secretary, and two Treasurers, each of whom shall be elected by the Neighborhood Association members at a regular meeting. The membership may elect such other officers or assistant officers, as it shall deem desirable. The same person except the offices of President and Vice-President may hold any two or more offices.

Section 4: Election and Term of Office: The officers of the association shall be elected annually by the neighborhood association members at a regular annual meeting of the association membership. If the election of officers shall not be held at the designated regular meeting, the election of officers shall be held as soon thereafter as conveniently may be. New offices may be created and filled at any meeting by the neighborhood association members. Each officer shall hold office unless removed, until his successor shall have been duly elected.

Section 5: Removal: Any officer elected by the membership may be removed by petition signed by the majority of the neighborhood association.

Section 6: Vacancies: A vacancy in any office because of death, resignation, removal, or otherwise may be filled by a vote of the majority of the association.

Section 7: President: The President shall be the principal executive officer of the association and shall generally supervise and control all of the business and affairs of the association. She/He shall preside at all meetings of the membership. In addition, they will preside over and sign any deeds, mortgages, bonds, contracts, or other instruments association members have authorized to be executed.

Section 8: Vice-President: In the absence of the President or in the event of her/his inability or refusal to act, the Vice-President (or in the event there be more than one Vice-President, Vice Presidents) shall perform the duties of the President, and when so acting, shall have all powers of and be subject to all the restrictions upon the President.

Section 9: Secretary: The Secretary shall keep the minutes of the meetings of the members in one or more books provided for that purpose, see that all notices are duly given in accordance with the provisions of the by-laws, be custodian of the association records and in general perform all duties incident to the office of Secretary and such other duties as from time to time may be assigned by the President.
Co-Secretary: In the absence of the secretary or in the event of her/his inability or refusal to act, the Co-Secretary shall perform the duties of the Secretary, and when so acting shall have all powers of and be subject to all the restrictions upon the Secretary.

Section 10: Treasurers: There will be two Treasurers elected for the Neighborhood Association to ensure a proper checks and balances system. They shall have charge and custody of and be responsible for moneys due and payable to the association from any source whatsoever, and deposit all such monies in the name of the association in such banks, trust companies or other depositories as shall be selected in accordance with the provisions of Article V of these by-laws; and in general perform all the duties incident to the office of Treasurer and such other duties as from time to time may be assigned by the President.
Co-Treasurer: In the absence of the Treasurer or in the event of her/his inability or refusal to act, the Co-Treasurer shall perform the duties of the Treasurer, and when such action is required, shall have all powers of and be subject to all the restrictions upon the Treasurer.


ARTICLE V. Contracts, Checks, Deposits, and Funds
Section 1: Contracts: The officers and other agents within the association shall be authorized to enter into any contract or execute and deliver any instrument in the name of and on behalf of the association, and such authority may be general or confined to specific instances.

Section 2: Checks, Drafts, etc.: All checks, drafts, other orders for the payment of money, notes or other evidence of indebt ness issued in the name of the association, shall be signed by such officers as the two treasurers and if necessary, the President.

Section 3: Deposits: All funds of the association shall be deposited from time to time to the credit of the association in such banks, trust companies, or other depositories as the officers may select.

Section 4: Gifts: The officers, namely the President, may accept on behalf of the association any contribution, gift or bequest for the general purposes or for any special purpose of the association.


ARTICLE VI. Books and Records
The association shall keep correct and complete books and records of accounts, and shall also keep minutes of the regular meetings and the special meetings. A record will be kept of all officers and date of appointments.
ARTICLE VII. Amendment to Bylaws
These bylaws may be altered, amended, or repealed and new bylaws may be adopted by the membership at any regular or special meeting of the membership as long as the meeting notice contained an explanation of the proposed change.


ARTICLE VIII. Dissolution
In case of the dissolution of this association, any assets remaining after paying or making provision for the payment of all liabilities of the association will be given to the Neighborhood Alliance (or whomever the majority of the neighborhood association designates).

ADDITIONAL ARTICLES TO CONSIDER

ARTICLE IX: Parliamentary Authority
The rules contained in Robert’s Rules of Order, newly revised, shall govern the proceedings of this association, except in cases governed by the bylaws and the special rules (policies) adopted by this association.
