BYLAWS

Bylaws of Keswick East Civic Association

Article I. Name
The name of the organization shall be the Keswick East Civic Association, hereinafter referred to as the Association.

Article II. Purpose
The purpose of the Association shall be:
A. To maintain and improve the dignity and integrity of the homes located in the area.
B. To encourage homeowners living in the area to improve their homes, and real estate investors with property in the area to improve their holdings.
C. To work together on problems and issues of common concern.
D. To promote health and safety of the community.
E. To encourage beautification of public properties within the community.
F. To cause or encourage compliance with city ordinances.
G. To engage in social, charitable, and related activities in the community.
H. To represent the Subdivision as a unified body in matters of concern to the residents.

Article III. Policy
A. The policy of this Association shall be non-profit, non-commercial and non-partisan.
B. It may engage in the raising and contribution of funds only if these funds are used for the maintenance of the Association and for the benefit of the membership and its elected officials.

Article IV. Membership

A. A member shall be defined as a household. Membership in the Association shall be
B. restricted to households residing in the City of Memphis, and consists of the 112 lots of Section J-1 Keswick Subdivision generally bounded as follows;

On the North: Stout Road
On the South: South property line of lots on the South side of Dashwood street
On the East: Memphis/Germantown city limits
On the West: West property line of lots on the West side of Tangbourne Street

Provided, however, that any person owning property in the area but not residing in the area may, upon application to the Association, be accepted for membership by the Association.

B. Any duly qualified member shall have the right to vote at regular meetings of the Association or special meetings thereof, so long as his/her membership is in good standing.
C. A member shall be a member in good standing when dues are current and the member is in compliance with these bylaws.

Article V. Officers and Executive Committee
A. The officers of the Association shall be the President, Vice-president, Secretary, Treasurer, and Program Director and shall be members in good standing thereof.
B. The officers of the Association together with the Block Captains and the Webmaster shall constitute the Executive Committee.

Article VI. Election of Officers
A. The officers shall be elected at the annual meeting of the Association and shall take office immediately upon conclusion of said meeting. The officers shall serve for a term of one year.
B. Nominees for office must receive a majority of the votes cast in each election.
C. The executive Committee shall present at the annual meeting a slate of nominees for officers to serve for the ensuing year. Nominations may also be made from the floor.
D. Credentials of nominees shall be cleared through the Secretary and Treasurer. Credentials are that the nominee is a member in good standing.

Article VII. Vacancy of Elected Officers
A. President: In the event of a vacancy, the Vice-President shall assume the Office of President for the remainder of the term.
B. Vice-President, Secretary, Treasurer, and Program Director: In the event of a vacancy in any of these positions, a new election will be held to fill the vacancy unless it is within three months of regular elections.

Article VIII. Duties of Officers:
A. The President:
1. Shall preside at all meetings of the Association and the Executive Committee.
2. Shall be chief executive officer and have general management and control of the affairs of the Association.
3. Shall be ex-officio member of all committees.
4. Shall perform all duties as from time to time may be assigned to him by the Association.

B. The Vice President:
1. Shall, in the absence of the President, perform the duties and exercise the
powers of the President.
2. Shall perform all duties and have such other powers as may, from time to
time, be assigned to him by the Association.

C. The Secretary:
1. Shall attend or designate a person to attend all meetings of the Association.
2. Shall record all votes and the minutes of all proceedings in a book kept for that purpose.
3. Shall give, or cause to be given, all notices necessary and proper.
4. Shall perform all other duties as may be prescribed by the Association or the President, under whose supervision he or she shall be.

D. The Treasurer and Co-Treasurer:
1. Shall have custody of the Association funds.
2. Shall keep full and accurate records.
3. Shall deposit, or cause to be deposited, all receipts in the name of and to the credit of the Association, in such depositories as may be authorized by the Association.
4. Shall disburse the funds of the Association as authorized by the Association (or Executive Committee, as authority is delegated, from time to time, by the Association). Checks of the Association shall require the signature of any two of the elected officers.
5. Shall render to the President and to the Association, whenever required, an account of all the Treasurer’s transactions, and of the financial condition of the Association.
6. The Treasurer’s accounts shall be subject, at the direction of the Executive Committee or the Association, to audit. The auditor being appointed by the President and approved by the Executive Committee.

E. The Program Director:
1. Shall propose programs of activities to Executive Committee.
2. Shall plan, coordinate neighborhood activities, and meeting programs.
3. Shall perform such other duties and have such other powers as may, from time to time, be assigned by the Association.

F. The Executive Committee:
1. Shall exercise all the powers given it by the Association and the by-laws.
2. Shall act on all matters arising in the intervals between regular and special membership meetings and shall report such action at the next regular meeting of the Association.
3. Shall coordinate the carrying out of the objectives of the membership and administer the objectives of the Association.
4. Shall recommend and submit new policies and changes in the by-laws, for approval by the membership at its next meeting.
5. Shall meet on call of the President on two (2) days, notice.
6. Shall have a majority as a quorum.
7. Shall assist the Treasurer in preparing an annual budget for submission to the Association for approval.

Article IX. Meetings
A. There will be an annual meeting of the Association. Regular meetings shall be held every three (3) months.
B. Special meetings of the Association shall be held at such times and place as the Executive Committee shall select. Five members in good standing may request that the Executive Committee call a special meeting. No business shall be transacted at a special meeting unless notice of such business was included in the notice to members.
C. Written or printed notice stating the place, day, time of the meeting and, in case of a special meeting, the purpose or purposes for which the meeting is called and the person or persons calling the meeting, shall be published in a flyer or the newsletter or announced at any previous annual, monthly, or special meeting of the Association. Said notice shall be published no less than 15 days before any meeting.
D. Those members present shall constitute a quorum at regular and special meetings.

Article X. Dues
A. The annual dues of the membership shall be specified by the Executive Committee with the approval of the membership. Dues are due on January 1st of each year and payable before February 1st of each year.
B. The Association shall have the right to assess dues for the support of the Association.
C. Only members who paid their dues shall be eligible to vote in regular or special meetings.

Article XI. Amendments
A. The by-laws may be amended at any regular meeting or special meeting, provided that at least thirty (30) days’ notice is given to all members of any proposed amendment.
B. Any proposed change in the by-laws presented to the regular or special meeting must be approved by a majority of the members in good standing present.

Article XII. Special Committees:
A. Special Committee members shall be appointed by the President unless otherwise prescribed by the by-laws.
B. Special Committees may be established and their function assigned at the discretion of the President.

Article XIII. Disbursements of Assets
In the event the Association is abolished, all assets of the Association shall be
donated to a non-profit organization(s) with a related purpose. The membership
of the Association shall determine by majority vote the organization(s) that shall
receive the assets of the Association.
