of the
FOSTER-POWELL NEIGHBORHOOD ASSOCIATION
Ratified July 6, 1999

ARTICLE I. NAME
The official name of this organization shall be Foster-Powell Neighborhood Association, referred to in the following articles as “the Association.”
ARTICLE II. BOUNDARIES
The boundaries of this organization shall be as follows:
Northern Boundary: SE Powell Boulevard
Southern Boundary: SE Foster Road
Eastern Boundary: SE 82nd Avenue
Western Boundary: Intersection of SE Foster and Powell at 50th Avenue

ARTICLE III. MEMBERSHIP
Regular membership shall be open to all residents, property owners, business licensees, and representatives of non-profit organizations who reside or conduct business within the boundaries of the Association, and who have reached the age of 18.
ARTICLE IV. OBJECTIVES
The objectives of this organization shall be to:
a. Provide a means of citizen participation and communication in the determination of affairs which directly affect the neighborhood.
b. Assist in furthering activities and projects which will raise the level of the total Foster-Powell neighborhood environment to that desired by its citizens.
c. Do and perform all of the activities related to said purposes, to have and enjoy all of the powers granted, and engage in any lawful activity for which corporations may be organized under ORS Chapter 65.
ARTICLE V. OFFICERS
Section 1. The officers of the Association shall be a President, a Vice-President, a Secretary-Treasurer, a Land Use Chair, a delegate to the Southeast Uplift Neighborhood Association, and two Delegates at Large. These officers shall perform the duties prescribed by these by-laws and by the parliamentary authority adopted by the Association. Such officers shall constitute the Board of Directors.
Section 2. The officers shall be elected in the month of May and shall serve for a term of one (1) year or until their successors are elected, and their term of office shall begin at the close of the meeting at which they are elected.
Section 3. Any Board member not fulfilling the purpose of the group shall be subject to recall at a regularly scheduled general meeting. Quorum for such a meeting shall be members present at the general meeting. Two-thirds of those present shall be needed to recall. The Board member shall be notified at least twenty-one days prior to such an action.
Section 4. No member shall hold more than one office at a time, with the exception of the position of delegate to S.E. Uplift, which may be held in conjunction with another office.
Section 5. Duties of Officers.
a. President. The President shall preside at all meetings of the Association; shall be a member ex officio of all committees; and shall perform such other duties as may be prescribed in these by-laws or assigned by the Association.
b. Vice-President. The Vice-President shall act as an aide to the President, and in the absence of the President shall preside at all meetings.
c. Secretary-Treasurer. The Secretary-Treasurer shall be responsible for recording and transmitting both the majority and the minority viewpoint on any recommendation on issues of the Associations interest; taking the minutes; maintenance of records and documentation of the Association’s activities; keeping of correspondence, and care of monies of the Association.
d. Delegate to Southeast Uplift Neighborhood Associations. The delegate to S.E. Uplift shall be responsible for attending all S.E. Uplift meetings and for reporting to the Association all matters affecting the Association.
e. The Land Use Chair shall represent the Association at all Southeast Uplift Land Use and Transportation Committee meetings. He/she shall act in the interest of the Foster-Powell neighborhood in all matters. He/she may have other committee duties as prescribed by the committee chairperson. It will be the Land Use Chair’s responsibility to report back to the Foster-Powell officers and general membership on all pertinent matters.
f. The Delegates at Large may act as alternates for the above said positions in the instance an officer cannot attend a specific meeting.
g. The Board shall have the authority and power to appoint Association members to fill vacancies in offices. Such authority shall be subject to ratification by the general membership at the next regular meeting following such appointment.
ARTICLE VI. MEETINGS
Section 1. General meetings of the Association shall be held each month, except that no more than four (4) meetings may be cancelled. Meetings may only be cancelled by decision of the Board.
Section 2. Date, time, and place of the Association general meetings shall be determined by the general membership, and the Board shall also have authority to call special meetings, or hold executive sessions.
Section 3. A quorum for all general and special meetings of the Association shall consist of those members present.
Section 4. A reasonable effort shall be made to advertise all meetings of the Association within the boundaries of the Association, by such means as flyers, phone calls, and posting in public places.
Section 5. All parties directly involved with or affected by a proposal shall be individually notified by phone by an officer of the Association at least four (4) days prior to the meeting at which the matter is scheduled for consideration.
Section 6. All meetings of the Association shall be open to the public.
ARTICLE VII. STANDING COMMITTEES
Section 1. Standing Committees may be created and terminated by action of the Association.
Section 2. Responsibilities and activities of each standing committee shall be determined by the Board and duly ratified by the general membership.
Section 3. The Association President shall appoint standing committee members as recommended by the Board and general membership.
ARTICLE VIII. PARLIAMENTARY GOVERNMENT
Roberts Rules of Order (Revised) shall govern the procedure of the Association when procedure is not covered by the by-laws.
ARTICLE IX. AMENDMENTS
Section 1. These by-laws may be amended at any regular meeting of the Association, provided that the proposed amendment has been read and submitted in duplicate to the President at the previous regular meeting, and further provided that an announcement of the proposed amendment has been publicized in accordance with Article VI, Section 4.
Section 2. No amendment of these by-laws shall be valid if less than fifteen (15) members of the Association are present and voting.
Section 3. Amendment of these by-laws shall be by a two-thirds vote of the members present and voting.
ARTICLE X. FINANCES
Section 1. Funds of the Association shall be deposited by the Secretary-Treasurer as directed by the Board in a checking or savings account in a financial institution. Funds shall be withdrawn upon check or draft signed by a minimum of two signatures including the President or the Secretary-Treasurer or other such persons authorized by the Board.
Section 2. No funds in excess of $50 shall be expended except by approval of the Board. The Board shall not have the authority to buy, sell or encumber real property, unless specifically authorized by the membership.
Section 3. No dues for membership shall be required, however voluntary donations can be accepted.
ARTICLE XI. GRIEVANCE PROCEDURE
Any grievances may be brought to the general membership for consideration at a general meeting. The President or Secretary should be notified by telephone in advance so that the grievance may be placed on the agenda.
ARTICLE XII. NON-DISCRIMINATION
The Association shall not discriminate against individuals or groups on the basis of race, religion, color, sex, sexual orientation, age, disability, national origin, income or political affiliation in any of its policies, recommendations or actions.
