Constitution and By-Laws of The Greenhaven Neighborhood Association

Article I - Name

The name of the Association shall be "The Greenhaven Neighborhood Association."

 

Article II - Purpose

The purpose of the Association is to benefit and further the best interest of its residents.

Specific objectives are:

  • to promote the general health, safety, and welfare of its residents
  • to develop a spirit of community and cooperation among its residents
  • to resist neighborhood deterioration, criminal activity and juvenile delinquency within its boundaries

 

Article III-Memembership and Dues

Membership in the Association shall be composed of all persons residing in the area bounded by Vivion Road, Indiana Avenue, the park area between Northeast 54th Street and Northeast Circle Drive, and midway between North Agnes and Chouteau Trafficway.

Each residence (household) in said area shall have one vote upon any matter before the Association, provided the residence has paid dues as prescribe herein.

Any member of the Greenhaven subdivision is entitled to active participation in the Association.

Dues are assessed at $10 per year per residence (household) and are due and payable in March each year.

Upon the dissolution of the Greenhaven Neighborhood Association any funds remaining in the Association account are to be distributed to a public benefit corporation.

Article IV-Officers

The officers of the Association shall be President, Vice President, Secretary and Treasurer, whose term of office shall be one year.

The officers shall be elected by majority of those present at the annual meeting.  No person shall serve more than two consecutive terms in the same office.

Vacancies occurring in the position of President, Vice President, Secretary, or Treasurer shall be filled for the remainder of the term by a person selected by the Executive Committee.

Article V - Executive Board

The Executive Board of the Association shall be composed of the elected officers of the Association, the chairperson of each of the standing committees, and the six area representatives.

The area representative will be appointed by the elected officers of the Association.

The duties of the Executive Board shall be to manage all affairs of the meeting and to serve as the ad interim group between meetings.

The Executive Board shall meet at least once monthly.

A majority of the Executive Board shall constitute a quorum for the purpose of transacing business.

Article VI - Duties of the Officers

President:

  • The President shall be the Chief Executive Officer of the Association.
  • The President shall be the presiding officer at all board and general meetings.
  • The President shall appoint necessary chairpersons with the approval of the Executive Board, and shall be an ex-officio member of all association committees, except the nominating committee.
  • The President does not assume the duties of the other officers or chairpersons.  Responsibility is delegated.
  • The President shall serve as the official representative to other organizations or appoint the necessary representatives to serve in his or her place.

Vice President:

  • The Vice President shall assist the President in the performance of his or her duties and shall preside at designated meetings in absence of the President.
  • The Vice President must perform such other duties as may be assigned by the President or by the Executive Board.
  • The Vice President may serve as the chairperson or as a member of one of the standing committees of the Association.

Secretary:

  • The Secretary will be responsible for keeping the Association records.
  • The Secretary will be the custodian of all books, correspondence, and papers relating to the business of the Association, except those of the Treasurer.
  • The Secretary shall be responsible for the accurate taking and reading of the minutes of the board and general membership meetings.
  • Correspondence of the Association shall be handled by the Secretary as required by the President.

Treasurer:

  • The Treasurer is the custodian of all funds of the Association.
  • The Treasurer shall keep an accurate record of income and expenditures for the Association.
  • The Treasurer maintains the books, deposits funds, and pays the bills with the approval of the Executive Board.
  • The Treasurer will give a report at the monthly Executive Board meetings, stating the expenditures and receipts and the account balance.

Article VII - Meetings

The annual Association meeting shall be held in the month of March each year.  General membership meetings shall be held once each quarter.  The meetings shall be open to all members and guests of the Association.

The Executive Board of the Association shall meet at least once each month.

A special meting of the Association may be called by the President upon the written request of 25 percent or more of the membership.  The membership of the Association shall be given five days notice in advance of any said special meeting.

For the purpose of transacting business at any annual or special meeting, 25 percent of the membership shall constitute a quorum.

Article VIII - Amendments

The Constitution may be amended by a two thirds majority vote of the Association members present at any regular meeting, after the proposed amendment has been read to the Association and submitted in writing to each member.
