Sandalwood Neighbors By Laws

Article 1: Name and Location

Section 1: This organization shall be called Sandalwood Neighbors.

Section 2: The geographical boundaries of this organization shall be:
Atlantic Blvd. to the North; St. John’s Bluff Rd. to the West; Hawaii Dr. E., Indies Dr. E., and Luana Dr. E. to the East.; Hardwick Lane, Blythe Ct., and Kusaie Dr. S. to the South.

Section 3: This group shall be a non profit organization.

Article 2: Purpose

Section 1: To promote a safe environment for the members of the community.

Section 2: To bring to the attention of the members events that effect the community.

Section 3: To provide a forum for discussion of issues concerning members.

Section 4: To work together to improve the quality of life in the community.

Article 3: Membership and Dues

Section 1: All residents and/or property owners over the age of 18 within the boundaries of this organization shall become members.
Section 2: Only those members that are paid up on dues shall be considered eligible and have the authority to vote.

Section 3: Businesses shall be involved in the organization as associate members and will not have the authority to vote.

Section 4: Cost of dues will be determined by a yearly vote of the members at the annual meeting.

Section 5: Members shall have 60 days to pay yearly dues.

Article 4: Board of directors

Section 1: This organization shall be managed by a board of directors.

Section 2: All board members must be eligible members of the organization, and residents of the community.

Section 3: This board shall consist of: The Executive Board and Chairpersons of Standing Committees.

Section 4: The board shall be elected by the members yearly at the May meeting.

Section 5: Terms of office shall be one year, starting at the end of the annual meeting.

Section 6: Board members may not serve more that two consecutive years in office.

Section 7: No members of the board shall be compensated for services to the organization.

Section 8: Board shall manage day to day operations of the organization.

Section 9: Board members may be removed by a 2/3rds vote of the eligible members present for just cause or for failure to perform his or her duties.

Article 5: Executive Board and their duties

Section 1: The President

a. The President shall be Chairperson of the Board of Directors.
b. The President shall be the official spokesperson for the organization.
c. The President may be one of the persons to sign checks.
d. The President shall appoint all committees with the approval of the Board of Directors.
e. The president shall see that all legal requirements are met and properly recorded.
f. The president shall give an annual report at the annual meeting.
g. The President shall appoint 2 people yearly to audit the Treasurer’s books and give a report at the annual meeting.

Section 2: The Vice President

a. The Vice President shall assume all the duties of the President in the event of the President’s absence, disability, or death.
b. The Vice President may be one of the persons to sign checks.
c. The Vice President shall assist wherever necessary.

Section 3: The Secretary

a. The Secretary shall keep the minutes of the meetings and the records of the organization.
b. A copy of the minutes shall be given to the President within one week of meetings.
c. The Secretary may be one of the persons to sign checks.
d. The secretary shall insure that the meeting minutes are available to the membership.
e. The secretary shall assist in communications and correspondence on behalf of the organization.

Section 4: The Treasurer

a. The treasurer shall have the care and custody of all monies belonging to the organization and shall be solely responsible for such monies.
b. The Treasurer shall open and maintain a bank account in the name of the organization.
c. The Treasurer must be one of the persons to sign checks.
d. The Treasurer will make financial reports to the membership at all meetings.
e. The Treasurer will be responsible for collecting dues.
f. The Treasurer shall disperse funds upon approval of the Board.
g. The Treasurer shall maintain at all times a membership roster, and keep track of those members that are eligible to vote.
h. A copy of the Treasurer’s monthly report shall be given to the President within one week of the meeting.


Article 6: Standing and Special Committees

Section 1: Standing Committees shall be Membership, Fund Raising, and Neighborhood Watch.

Section 2: Chairpersons of the Standing Committees shall complete the Board of Directors.

Section 3: Special Committees shall be appointed by the Executive Board as needed.

Section 4: Committees shall present all action plans to the Executive Board.

Section 5: The Board of Directors must consent to all plans before action is taken.

Section 6: The President shall be a member of all committees except the Nominating Committee.

Article 7: Meetings

Section 1: Membership Meetings

a. Regular meetings of membership shall be held on the forth Thursday of every month.
b. Notice of membership meetings meetings shall be given to all members at least one week in advance.

Section 2: Board Meetings

a. The Board of Directors shall meet once a month.
b. Board meeting shall be held at least 7 days before the monthly membership meeting.

Section 3: Annual Meetings

a. Annual meeting shall be in June with the exact date to be set by the board of directors.
b. The purpose of annual meetings shall be to vote on yearly dues and to present new board members.
c. Notice of annual meeting shall be given to all members no more than a month and no less than two weeks in advance.

Section 4: Emergency meetings

a. Members that wish for an emergency meeting to be called shall bring the issue to the Board of Directors.
b. The board must respond to this inquiry within 48 hours of initial request.
c. If in fact the board is in agreement that an emergency meeting should be held, all members shall receive 7 day notice of such meeting.

Section 5: Order of business

3. Reading of last meetings minutes
4. Reports from Executive Board
5. Reports from Committees
6. Voting Issues
7. Unfinished Business
8. New Business
9. Announcements
10. Adjournment

Section 6: Quorums
A 2/3rds vote of the members present at any meeting shall constitute a quorum.

Section 7: Voting Limitations

a. Once an issue is voted on, any eligible member may ask to have that issue voted on again.
b. Members shall be given 30 days notice of a new vote.
c. After that issue has had a second vote, it may not be brought up for vote for at least 6 months.

Article 8: Elections

Section 1: The Executive Board of this organization shall be presented at the annual meeting by the Nominating Committee and elected by majority vote at the May meeting.

Section 2: The Nominating Committee

a. The Nominating Committee shall consist of 5 members selected at the April meeting.
b. Nominations for members of this committee shall be from the floor. If no nominations are made the President shall select 5 members.
c. The Nominating Committee shall present the slate of the Executive Board at the May meeting.
d. Additional nominations may be made from the floor. If such nominations are made, election will be by written ballot. If no additional nominations are made the slate will be voted on.
e. The new Executive Board will take over under new business at the annual meeting.

Section 3: Newly elected board members shall assume their duties at the end of the annual meeting, and outgoing board members shall turn over all records to incoming board members at this time.

Article 8: Parliamentary Authority

Section 1: The rules contained in Robert’s Rules of Order, Revised, Shall govern the conduct of all meetings of this organization on questions not covered in these By Laws.

Article 9: Amendments

Section 1: These By Laws may be altered, amended, repealed, or added to by the Board of Directors with the approval of a 2/3rd vote of the eligible members present at a subsequent meeting.

Section 2: Members shall receive at least 30 days notice of intent to make changes to these By Laws.
