BYLAWS of the
SPOOK HILL NEIGHBORHOOD ACTION ASSOCIATION
April, 2001

ARTICLE I.
PURPOSE AND OBJECTIVES

SECTION I.
The purpose of the Spook Hill Neighborhood Action Association, hereafter called the Association, is to preserve the natural desert in the Desert Uplands as it is developed, to work with the city, the county, and the state in maintaining our environment, to provide input in planning and zoning in the area, and to assist residents and/or property owners in the area when issues arise that may affect them.

SECTION II.
The objectives of the Association shall be:
1. to promote and encourage the following goals in the Desert Uplands area: a) strict
adherence to Mesa’s Desert Uplands development guidelines and ordinances,
b) low density development, c) protection of significant portions of the virgin
desert to protect the wildlife, d) preservation or salvage of native plants and
habitat, e) revegetation of disturbed areas with approved native, low water use
species, f) minimum or zero street lighting, and g) avoidance of fences and other
barriers between properties.
2. to be acknowledged as the primary spokesperson for issues affecting property
owners in the Desert Uplands.
3. to review and provide comment on all residential and commercial developments
prior to zoning approval.

ARTICLE II.
PARTICIPATION AND VOTING PRIVILEGES

SECTION I.
The area of interest of the SHNAA is the Tonto National Forest boundary on the north,
McKellips Road on the south, the CAP canal on the west, and Ellsworth/Usery Pass
Road on the east. Property owners in this area who are not members of an organized Homeowner’s Association are eligible to participate and vote.

SECTION II.
There are no assessed fees or dues; donations for expenses are accepted.

SECTION III.
General neighborhood meetings are called when deemed necessary. Special meetings held
to consider an issue affecting a limited area may be called by the board. Notice of meetings will be published at least two weeks prior to the meeting date in a local publication or in an association newsletter.

SECTION IV
All property owners within the stated boundaries of the Association who are not represented by an organized HOA may vote on matters that arise at any general meeting. There will be one vote per tax parcel.

ARTICLE III.
OFFICERS AND THEIR DUTIES

A. Chairman---1.) calls and presides over all meetings, 2.) supervises the work of other
officers and committees, 3.) represents the organization, 4.) appoints
committees to research and recommend action to be taken by the
association and 5.) may appoint another officer to preside at meetings or otherwise represent the association in his absence
B. Secretary---1.) keeps minutes of all meetings and other activities, 2.) provides
records and reports, and 3.) assists with correspondence and publications.
C. Treasurer---1.) handles all the association’s finances, 2.)keeps a record of income
and expenses, and 3.) prepares financial reports.

Any officer may be removed from office by a two thirds vote of the executive board.

ARTICLE IV.
EXECUTIVE BOARD

SECTION I.
An executive board of the association, composed of no more than nine members, shall
be elected by a majority vote of the participants of the association who are present at the election meeting . Board members must be residents or property owners of the area described in Article II, Section I. The Board shall have the responsibility for 1.) the election of officers, 2.) the handling of the day to day business of the association, 3.) the calling of general and special meetings, when deemed necessary, and 4.) keeping participants informed of developments affecting our area.

SECTION II.
The term of office shall be two years or until a replacement is elected or selected by the board members. Between regular elections, a vacancy in any office shall be filled within sixty days by a vote of the board.

SECTION III.
Board meetings will be called by the chairperson and will be held the second Tuesday of each month, unless there is insufficient business to be considered in that period.

SECTION IV.
Board members shall be expected to: 1.) attend and participate in at least two-thirds of the called board meetings within any calendar year 2.) seek neighborhood opinions on Desert Uplands issues, 3.) attend zoning board, city council, and board of supervisors meetings when necessary to show support, and 4.) assist with mailings and other association activities.

SECTION V.
A quorum of 60% of the Board members is required to transact association business

ARTICLE V.
AMENDMENTS

Any part of these bylaws may be altered, amended, or repealed and new bylaws may be adopted by a two-thirds vote of those present during a general meeting after notification of the meeting with time and place and the reason for change.
