Bylaws
Walsh Tarlton Neighborhood Association
These bylaws were adopted at the Walsh Tarleton Neighborhood Association General Meeting on September 23, 1999.
Article I. Name
The name of this organization shall be the Walsh Tarleton Neighborhood Association, a non-profit organization, hereinafter referred to as the Association.
Article II. Description of Association’s Geographic Boundaries
The Association’s geographic boundaries include Woodhaven, Bee Cave Woods, and Treetops West and include, but are not limited to, the following streets: Peregrine Falcon Dr., Purple Heron Dr., Rain Forest Dr., Barn Swallow Dr., Pinnacle Rd., (east of Constant Springs Dr. to Peregrine Falcon on the south side), Spring Garden, Cactus Wren Wy., Dusky Thrush Tr., Magpie Cove, Darter La., Rose Finch Tr., Snowy Owl Ct., Sanderling Tr., Wilderness, Brightwood Dr., Breezeknoll Cir., Eanes Circle, Eaneswood Dr., Radiant Spring, Wilderness Cove, Terrapin Ct., Old Walsh Tarlton La., Honey Tree Lane, Chicory Cove, Goeth Circle, Eanes Crossing, Bee Cave Woods Dr., Verdant Way, and Brians Meadow Cove.
Article III. Mission of the Association
The mission of the Association is to build community through communication and interaction, promote awareness of and compliance with covenants, improve the quality of life in the neighborhood, and safeguard each property owner's investment.
Article IV. Objectives of the Association
The objectives of the Association are to: 1) represent and advance the common interest of all residents in the neighborhood, 2) keep members informed of issues vital to the neighborhood by appropriate communications and meetings, and 3) facilitate interaction among residents to foster a sense of community.
Article V. Membership
Section A. Eligibility
Membership in the Association shall be open to all residents and property owners within the geographic boundaries of the Association.
Section B. Membership
Membership shall be issued on the basis of the household as a unit upon payment of the annual dues. Annual dues shall be set by the Executive Board for each calendar year.
Section C. Honorary Membership
Honorary membership may be awarded by the Executive Board to persons who have perfomed services which tend to further the purpose of the Association. Honorary members shall enjoy complementary membership for one year, but shall have no vote.
Article VI. Voting
Section A. Voting
Members of the Association present at any General meeting shall be entitled to one vote per membership on each matter submitted to a vote of the membership.
Section B. Quorum
At t he General Meetings, a quorum shall be designated as a majority of those present and voting as necessary for the transaction of Association business.
Article VII. Officers
Section A. Election of Officers
All members of the Association present and voting at the annual General Meeting for the election of officers shall be entitled to elect officers to represent the Association's interests and to act on the Association's behalf. The Executive Board shall appoint a Nominating Committee to present nominations for officers at the General Meeting.
Section B. Term of Officers
Officers shall be elected from the active membership to serve a one-year term. In the event an officer resigns, is discharged or is unable or unwilling to perform the duties of the office; the Executive Board shall appoint an interim officer until the next annual election of officers at a General Meeting of the Association. Officers may be removed from office for cause by a two-thirds vote of the Executive Board, providing that notice has been furnished to the Executive Board at least 14 days prior to said meeting.
ARTICLES OF ASSOCIATION
WALSH TARLETON NEIGHBORHOOD ASSOCIATION
Association Name
1. The name of the Association is Walsh Tarlton Neighborhood Association, hereafter referred to as the Association.
Legal Status
2. The Association is a non-profit, all volunteer neighborhood association organized pursuant to the Texas Uniform Unincorporated Nonprofit Association Act.
Duration
3. The period of the duration of the Association is perpetual.
Purposes
4. The purposes for which the Association is formed are the following:
(a) Specifically and primarily to provide an association consisting of the owners and residents of those lots in Bee Cave Woods I, Bee Cave Woods II, Woodhaven, Woodhaven II, and Treetops West subdivisions located in the City of Austin, Travis County, Texas.
(b) Generally:
(i) To promote the health, safety, and welfare of the owners and residents of the Lots in the subdivisions shown in item 4. (a) above.
(ii) To improve and maintain the quality of life in the neighborhood in matters such as land use, environmental protection, public service, and other neighborhood concerns.
(iii) To encourage neighborhood Crime Watch, deed restriction enforcement and act as a vehicle for neighborhood communications.
(iv) To exercise all the powers and privileges and to perform all the duties and obligations of the Association as set forth in the Bylaws of the Association.
(v) To have and to exercise any and all powers, rights, and privileges that an Association organized under the Texas Uniform Unincorporated Nonprofit Act by law may now or at a later time have or exercise.
(vi) Notwithstanding any of the above statements of purposes, the Association shall not, except to an insubstantial degree, engage in any activities or exercise any powers that are not in furtherance of the primary purpose of the Association.

5. The address of the initial registered office of the Association is P.O. Box 164052, Austin, TX 78716-4052 and the name of its initial agent at such address is Ann McIntosh.
Board of Directors
6. The affairs of the Association shall be managed by a Board of Directors as set forth in the Bylaws of the Association.

Section C. Executive Board
The business and affairs of the Association are managed by the Executive Board which consists of the following seven officers: President, Vice President, Communications, Vice President - Membership, Vice President - Covenants, Secretary-Historian, Treasurer, and Representative for City Services. A quorum shall be designated as a majority (four) officers present as necessary for the transaction of Association business at the Executive Board meetings.
The Executive Board shall meet at least quarterly, and may meet more often as needed. Either the President or a majority of officers shall have the power to call a meeting of the Executive Board with proper notice given to each officer and reasonable notice to members. The Executive Board may establish standing and ad hoc committees to investigate and make recommendations to the Executive Board on all matters of neighborhood concern.
Section D. Duties of Officers
1. President: The President shall preside at all meetings of the Executive Board and General Association meetings and provide the leadership for the Association. The President shall represent the Association as needed in communications with other organizations. The president may appoint any active member or members to chair any ad hoc committees deemed necessary by the Executive Board.
2. Vice President - Communications: The Vice President of Communications shall be responsible for coordinating the creation of the Association newsletter. An Association newsletter shall be distributed to all residents within the Association's geographic boundaries at least once per year, and on an as-needed basis to be determined by the Executive Board. The Vice President of Communications shall fulfill the duties of the President in the President's absence.
3. Vice President- Membership: The Vice President for Membership shall be responsible for encouraging residents to join the Association, collecting applications to join, and maintaining a current list of members. The Vice President of Membership shall also serve as parliamentarian of the Association.
4. Vice President- Covenants: The Vice President for Covenants shall preside as Chairperson of the Covenants Committee, coordinating committee meetings and ensuring committee members have a copy of the covenants.
5. Secretary-Historian: The Secretary-Historian shall keep an accurate record of the business of the Association, including minutes of meetings of the Executive Board and at General Meetings of the Association. Such minutes shall be reviewed and approved by the Executive Board at the subsequent Executive Board meeting. All newsletters, minutes and changes to the Bylaws shall be maintained in an historical file, and copies deposited for historical archiving at the Austin History Center and any other city department as deemed appropriate.
6. Treasurer: The Treasurer is responsible for maintaining financial records, management of bank or other accounts, timely deposit of receipts and payment of expenses. All checks or other payments by the Association shall require the signature of either the Treasurer of the President. The Treasurer shall make a full report on the financial status of the Association at least annually.
7. Representative for City Services: The Representative for City Services shall be responsible for communicating with city departments the Association's requests for information or services in areas such as traffic, transportation and street repairs, utilities, police and fire services and any other issues of importance for the Association.
Article VIII. Parliamentary Authority
When not inconsistent with these Bylaws, Robert's Rules of Order, newly revised, shall be the parliamentary authority for all matters of procedure. These rules may be suspended at any meeting by a majority of members present and voting.
Article IX. Indemnification
The Association may indemnify the officers and directors against liability they may incur as a result of their duties under these Bylaws, except when the Officer or Director acts willfully or with gross negligence.
Article X. Ame ndment of Bylaws
These Bylaws may be amended at any General Meeting of the Association by a two-thirds vote of those present and voting, provided the amendments had been approved by the Executive Board and submitted in writing to the membership at least ten days prior to the meeting.
