Board Members: Present - Nevada Graham (President), Valaida Fullwood (Secretary) and Gloria McClain (Treasurer). Absent – Manny Campos (Vice President). Resigned office, effective 16 May – Mike Doney (Financial Secretary) and Michael Hopkins (Corresponding Secretary).

Bylaws Background and Proposed Modifications
Valaida presented an overview of decisions from the May 12 meeting and reviewed the proposed modifications to the bylaws. Attendees asked clarifying questions and advocated for keeping the original bylaws or approving the modifications. Discussion centered on whether to allow every neighborhood resident and property owner the right to Association membership, voting privileges and Board service or to limit these rights to only residents, with voting further limited to one vote per residential structure.

The proposed modifications pertained to Article III: Association Membership and Voting Rights. The following section includes an excerpt from the original bylaws and the proposed modification.

The current bylaws read:

SECTION 1. MEMBERSHIP. Membership in the Association shall be open to all residents of the Wesley Heights neighborhood for the purposes outlined in Article II [purpose/mission of the Association], however, members may only become voting members upon payment of dues as outlined in Section 3 of this Article.

SECTION 2. VOTING RIGHTS. The voting rights of the membership shall be allocated on the basis of one vote per residential structure. All residents of a single residential structure, regardless of whether the structure is a single family residence or multi-family residence shall be entitled to one vote to be apportioned among the dues paid members residing in that structure.

The following modifications, pertaining to Association “Membership” and “Voting Rights” were approved by the Board. These modifications were proposed to the Association for approval or decline by majority vote by eligible members on May 12. Members elected to table the vote until this meeting on May 19.

SECTION 1. MEMBERSHIP: A Member is any adult real property owner, tenant, or resident who lives or owns property within the boundaries of the Wesley Heights Community whose dues are current.

SECTION 2. VOTING: A Member has the right to vote and the privilege of holding office for the Association.

While additional modifications to the bylaws were brought to the Association for approval on May 12, presently only those stated above are slated for discussion and a call for votes on May 19, prior to the election of Board officers.

Request for Vote on Bylaws
Bobby Scott made a motion for the membership to vote on whether to approve the modifications. Christy Derreberry seconded the motion. Members voted 27 to 13 against modifying Article III.

Introduction of candidates for Board offices
Each candidate introduced his or herself and then shared information on employment, relevant experience and qualifications, length of residence in Wesley Heights, and their hopes and expectations for the neighborhood and Board service.

Board Election
Members, as defined by the original bylaws, received printed ballots and voted for 2005 Board officers. Nevada selected two random members to count the ballots and announce results.
