NOTICE OF ANNUAL MEETING OF MEMBERS

BRAZOS LANDING RESIDENTIAL ASSOCIATION INC.

This is a public notice to all property owners of the BRAZOS LANDING Residential Association Inc. (the "Association") to notify all members of the Annual Meeting.

This meeting will be held on Monday September 19, 2005 at 7:00pm

LOCATION: Fort Settlement Middle School
5440 Elkins
Sugar Land, Texas 77479

The purpose of this meeting is to review and discuss as designated in the By-Laws, for purposes expressed therein, the following topics:

1. Election of Director – two (2) positions available, for 2-year term.

2. Financial Presentation

3. Confirm Rollover of Operating Funds to Subsequent Year for Tax Filings.

4. Community Operations and Development Update

All members are cordially invited and urged to attend. This is a written ballot vote and you are entitled to one (1) vote per lot. If you are unable to attend, please fill in your directed ballot and/or proxy and send it to the meeting with your neighbor to assist with the quorum requirements or you may return it to the following address:

Your proxy may be limited to use for the purpose of qualifying a quorum or you may vote your Directed Ballot, if properly marked, directing said proxy to vote for anyone you may choose to write-in as a candidate of your choice. If you choose, you may allow your designated proxy to vote entirely on your behalf. Please properly complete your ballot in order for it to be counted.

In order to be eligible to vote, your maintenance fees and any penalties and/or interest must have been received in the PCMI office by 4:00 p.m. on September 16, 2005. IN ORDER FOR YOUR MAIL-IN VOTE TO BE COUNTED, YOU’RE DIRECTED PROXY AND BALLOT MUST ALSO BE RECEIVED IN OUR OFFICE BY 4:00 P.M. September 16, 2005.

In order to conduct official business, a quorum must be present either in person or by proxy. The current quorum requirements are 46 eligible votes.

How to nominate?

Nominations will be called for from the floor. If you wish to have your name on the ballot please contact PCMI at 281-870-0585 by 4pm on September 16, 2005.
