To the Board of Directors and Members of the Association of Town and
Country Village:

Late in August of this year I was approached by Mr. Frank Black and asked
to join the Board of Directors in the office of president, supplanting
the incumbent, Ms. Gyl Condojani. The reason stated was the inability of
the board to function under her direction. I was reluctant, but due to
Mr. Black?’s insistence and for the good of the community, I accepted.

I was assured of the cooperation of the board as I tried to bring the
existing situation into line with the requirements of our governing
documents. This was not forthcoming, particularly on the part of Mr.
Black, who appears to have his own agenda apart from that of the whole
Board of Directors.

My wife and I went on a long planned vacation from September 16th to the
25th, during which I was continually upset by the turmoil that was
continuing in my absence. So much so that we returned early so I could
consult my physical and mental health professionals.

In light of the unchanging situation with Mr. Black, I find it impossible
to be responsible for the affairs of the Association. Therefore, and at
the advice of my physicians, I hereby resign the office of president of
the Board of Directors of this Association, effective immediately,
irreversibly and permanently.

The last thought I leave with you is that the Association is in deep
trouble. The membership needs to be more involved and understand that if
the legal requirements of the corporation are not met, the results can be
catastrophic. Time is running out!

Respectfully submitted,

Frederick M. Graver

Re: Fred's Resignation

Residents and Owners of Town & Country,

Had I known of Mr. Graver's serious physical and mental condition, I would have never asked him to be on the Board.

It would be nonproductive to respond to the slanderous comments Mr. Graver has chosen to make public, without his even contacting me.

My position is and has always been to work within the guidelines of the governing documents.

I would prefer to move forward and deal with the issues at hand. Mr Graver is correct in that we have many issues needing attention. Please feel free to contact me via Email at CSBlack@compuserve.com

I will welcome an opportunity to answer all your questions and/or comments.

Respectfully,
Frank Black
