FARLEY NEIGHBORHOOD ASSOCIATION

Governing By-Laws, Adopted October 2004

ARTICLE 1. PURPOSE AND NAME

Section 1. The purpose of this association shall be to serve the residents of the Farley Neighborhood. This will be done by protecting and promoting the best interests of the residents as defined by the Board of Directors with input from the membership. The goal is to strive for improvement of public facilities and services within the area, to encourage a civic spirit, and foster good will and friendship; to co-operate with county, township and city officials and with other civic and public organizations in the community.

Section 2. The name of the association shall be the “Farley Neighborhood Association, Inc.”

ARTICLE II. MEMBERSHIP

Section 1. Membership in this association shall be open to all resident and non-resident property owners in Wayne Township known as Farley Speedway Homeplace and Anchorage Addition as described in Marion County Assessor’s Plot Book, Wayne Township. Renters in the area are welcome to attend the Annual Meeting but cannot vote.

Section 2. Meetings for the members shall be called in accordance with the following guidelines:

  1. The Annual Meeting for the election of officers shall be held in April on the day specified by the Board of Directors.
  2. Meetings of the membership may be called by the President or by his designated officer, a majority of the board of directors, or by petition signed by not less than one-tenth of the membership.
  3. Notice of all membership meetings shall be given in writing to all homes in Farley Neighborhood. All such notices shall state the time, place, and purpose of the meeting.
  4. A quorum for doing business shall be 40 members at called membership meetings. In the event of a non-quorum, the portion of the meeting requiring votes may be delayed while those attending make calls to get more members there.
  5. Matters of business presented to the membership, unless specified by the By-Laws ahall be by a majority vote.

ARTICILE III. MANAGEMENT

Section 1. The members will elect a president, vice president, and a treasurer. They will take office on May 1 following the election.

Section 2. There shall be 4 section representatives from each section of Farley Neighborhood as defined by the attached map for a total of 24 persons. These persons shall be recruited by the Board of Directors. In the event that insufficient numbers can be found in a given area, other individuals may be recruited to do the job. These people will be under the direction of the Membership Chairperson or if none, the president. Their duties will be to distribute the flyers to their area. They will also field questions from neighbors and attempt to answer them. The section representatives are asked to attend all general meetings. The Board of Directors through the Membership Chairperson has the task of keeping these people informed on issues affecting the neighborhood. They may also be invited to board meetings if needed.

Section 3. The president may recruit volunteers to head up committees such as Garage Sale, Distribution, Crime Watch, Membership, and Web Page Editor. It is hoped that these people will also be from the pool of section representatives. Although the association may operate without these committee chairpersons, it is strongly recommended that they be recruited to form a stronger organization with more ideas.

Section 4. The Board of Directors shall be responsible for general supervision and control of all activities of the Association to the extent authorized by these by-laws or by action duly taken at membership meetings.

Section 5. Meetings of the Board of Directors shall be held at a time and place as directed by the president or as requested by four or more board members. Regular meetings are recommended each quarter but may be suspended if there is a lack of business.

Section 6. Matters brought before the board for a vote shall be decided by a majority vote of those present. A quorum must be for the three elected officers to be present. The president is responsible for the minutes taken either by himself or a designated person.

Section 7. The Board of Directors is responsible for providing a slate of officers to the annual meeting. More than one candidate for a position may be offered for a vote. In addition nominations may be taken from the floor. In the event that no candidate is offered up for a position, the current officeholder is required to serve another year. If this is not possible, the position must be filled by one of the other three elected officers.

Section 8. Any board member may be removed by a majority vote of the remaining board members for non-performance, mismanagement, or dereliction of duties.

ARTICLE IV. OFFICERS

Section 1. In order to hold elective office, a person must be a homeowner and be current on their dues.

Section 2. The term of office of the President shall be limited to not more than two consecutive terms of two years.

Section 3. The duties of the president are as follows. He shall preside at all meetings of the association and the board of directors. If he cannot attend, the duties fall to the vice president. He is a ex-officio member of all committees and must carry out all duties assigned by the By-Laws and the Board of Directors. He must attend or arrange for representation at all public meetings of interest or concern to our neighborhood.

Section 4. The duties of the vice-president are as follows. The vice-president shall take over any of the presidents duties that are assigned him by the president, be a member of the board of directors and be in training for promotion to president if so elected.

Section 5. The duties of the treasurer is as follows. The treasurer shall keep financial records and accounts of the association and have charge of its funds. The treasurer shall receive all dues and keep all association funds in a depository approved by the Board of Directors and in the name of the Association Withdrawals shall be by check as authorized by the Board of Directors or as a consequence of the duties specified by these by-laws. A financial report summarizing all transactions for the year will be prepared by the treasurer for delivery at the annual meeting. The president will assign a member of the board other than the treasurer to audit the records and verify the account balance once per year.

ARTICLE V. DUES AND FINANCES

Section 1. The fiscal year begins on May 1 of each year. The dues for each year are set by the Board of Directors.

ARTICLE VI. RULES OF ORDER

Article 1. The rules contained in “Roberts Rules of Order” shall govern this association in all cases that they are applicable.

ARTICLE VII. DISSOLUTION

Section 1. This association will remain in perpetuity unless there is a majority vote of currently paid homeowners for dissolution.

Section 2. In the event of dissolution of this association, any remaining funds will be used for snow removal until exhausted.

ARTICLE VIII. AMENDMENTS TO THE BY-LAWS

These by-laws may be amended at any meeting of the membership by a majority of the Board of Directors and by a majority of members attending a meeting advertised for this purpose.
