THE BY-LAWS AND CONSTITUTION
OF THE
HOLIDAY HILLS CIVIC ASSOCIATION
1961
ARTICLE I – Name
The name of the organization shall be the HOLIDAY HILLS CIVIC ASSOCIATION, hereinafter referred to as the ASSOCIATION.
ARTICLE II – Purpose
The purpose of the Association shall be to promote the general welfare of the Holiday Hills Community.
ARTICLE III – Membership
Section 1. All residents of Holiday Hills eighteen (18) years of age and over shall be eligible for membership.
Section 2. Membership shall be acquired and retained upon payment of annual dues as specified hereinafter.
Section 3. Each residential unit carries one vote, and an adult occupant having membership in good standing may cast that vote in person, by mail, or by written proxy.
Section 4. Membership is terminated upon ceasing to be a resident of Holiday Hills, or by non-payment of dues.
ARTICLE IV – Dues
Section 1. Annual dues shall be determined each year by the Council for each membership (residential unit) payable to the Treasurer annually. The amount so determined shall be based on the amount presently in the Treasury plus an amount forecasted for the following Fiscal Year to meet such expenses as replenishment of “Legal Fund”, Social Expenses, etc.
Section 2. The Council shall also determine an amount to be used for the purpose of replenishing a special fund to be designated as the Snow Removal Fund.
Section 3. The “Legal Fund” shall contain at least $1,000.00 to be used to pay all fees and charges pertaining to any legal obligation of the ASSOCIATION.
Section 4. There shall be no compulsory assessments.
Section 5. The Treasurer may accept contributions in behalf of the ASSOCIATION. However, the ASSOCIATION reserves the right to accept or decline any contribution monetary or otherwise.
ARTICLE V – Meetings
Section 1. An annual meeting of the members of the ASSOCIATION shall be held for the purpose of electing and installing officers and councilmen, and any other business to be transacted. All members shall be notified of the time and place of this annual meeting by written notice at least ten (10) days in advance thereof. Notification shall include a brief description of matters to be discussed insofar as they are known in advance.
Section 2. Special meetings of the ASSOCIATION may be called by the Council. In addition, the Council shall call a special meeting of the ASSOCIATION upon presentation to any member of the Council a petition signed by at least 10% of voting members. All members shall be notified of the time and place of these special meetings at least two (2) days before the meeting. Notification shall include a brief description of matters to be discussed insofar as they are known in advance.
Section 3. A plurality of votes cast is necessary to decide any issue which shall come before any meeting of the Association.
ARTICLE VI – Officers and Duties
Section 1. Officers: The officers of the ASSOCIATION shall consist of a President, Vice-President, Secretary, and Treasurer, all of whom shall serve a term of one year or until successors are selected and installed.
Section 2. Elections: The officers shall be elected by a plurality of votes cast at the annual meeting of the ASSOCIATION.
Section 3. Duties: (a) The President shall be the Chief Executive Officer of the ASSOCIATION, and shall preside at all meetings of the ASSOCIATION and meetings of the Council. He shall see that all resolutions of the Association are put into effect. He shall also, appoint all committees except the nominating and auditing committees.
(b) The Vice-President shall assist the President and shall perform the duties of the President in his absence. The Vice-President shall also be in charge of all committees.
(c) The Secretary shall record minutes of all proceedings of the ASSOCIATION and of the Council, and shall keep the essential records belonging to the ASSOCIATION. The Secretary shall handle all official correspondence of the ASSOCIATION except that which can be properly managed by the various committees.
(d) The Treasurer shall receive and be responsible for all funds of the ASSOCIATION and shall keep an account of all dues, receipts, and expenditures. All funds collected by the Treasurer shall be deposited in the name of the ASSOCIATION in a bank designated by the Council. All records of the Treasurer shall be available to the Council at any meeting. A sum in excess of Fifty Dollars ($50.00) may be paid only upon prior approval of the Council.
The Treasury accounts shall be examined at any time by an auditing committee of no more than three (3) members appointed by the Council. The Treasurer shall make a report at the annual meeting and the Auditing Committee’s approval shall be shown by signatures at the end thereof.
ARTICLE VII – Council
Section 1. The Council shall consist of the officers of the ASSOCIATION, and as many others members of the ASSOCIATION as deemed reasonable to be called Councilmen.
Section 2. Councilmen shall be elected by a plurality of votes cast at the annual meeting of the ASSOCIATION. The Councilmen shall be installed at the annual meeting.
Section 3. A Councilman may be removed from office by petition from a majority of the members of the Council subject to approval by a 2/3rd vote of the council.
Section 4. The Council prior to completion of its term in office, shall appoint a nominating committee whose purpose it shall be to nominate a slate of officers and councilmen which will be presented at the following meeting.
ARTICLE VIII – Council Meetings
Section 1. The council shall meet at least once every three (3) months at such time and place as designated by the President.
Section 2. Special meetings of the Council may be called by the President with due notice to all members of the Council.
Section 3. No business at a Council meeting shall be conducted unless a quorum of at least 50% of the representatives of the Council are present.
ARTICLE IX – Appointments
Section 1. The President shall appoint the following standing committees:
Membership
Publicity
Parklands
Section 2. The President shall appoint such other committees as required by the Council.
Section 3. The President may appoint such other committees, as he deems necessary.
Section 4. These provisions shall not apply to the nominating and auditing committees.
ARTICLE X – Amendments
This Constitution and By-Laws may be amended by an affirmative majority vote of voting members.
Auditing Committee:
Consists of three members appointed by the Council. The Auditing Committee shall examine the Treasury accounts at any time. The Treasurer shall make a report at the annual meeting and signatures at the end thereof shall show the Auditing committee’s approval.
Budget Committee:
Consists of the Treasurer and all committee chairpersons. These chairpersons shall submit expenditures and formulate a budget for the fiscal year to be presented to all members at the annual meeting for a vote.
Membership Committee:
Coordinates the annual membership drive. Its chairman Chairs the Committee of Block Captains and keeps all membership records. The Chairman of this committee oversees the collection of membership dues, deposits all funds and gives the deposit slips to the Treasurer of the Holiday Hills Civic Association for record. The Chairman of this committee will work with the Treasurer of the Holiday Hills Civic Association. The Welcoming Committee is a part of this committee. It shall prepare a budget and submit it to the Budget Committee for approval.
Nominating Committee:
Secures and recruits qualified candidates for elections to council.
Old Orchard Island Committee:
This Committee oversees the design and maintenance of the island. Secures bids for maintenance of grass cutting, tree trimming, bulb planting, mulching and sign painting. It shall prepare a budget and submit it to the Budget Committee for approval.
Parklands Committee:
This Committee is the liaison between county services and the civic association. It monitors parkland conditions and contacts the county to perform the needed work. The parks are Holiday Hills Park at the end of Westminster Drive and extending to the rear of the homes on Westminster Drive and the park at the bend of Jamaica drive. If necessary it will organize a park clean up.
Publicity Committee:
This Committee gathers news items, publishes (types and copies) and distributes the newsletter. (e-mail addresses would make this a lot easier) It shall prepare a budget and submit it to the Budget Committee for approval.
Public Safety Committee: (Town Watch)
This Committee is the liaison between the civic association and the police. It will review police reports, distribute public health posters, keep community informed of crime prevention. It shall prepare a budget and submit it to the Budget Committee for approval.
Recreation Committee:
This Committee coordinates all social events for the community. It functions by task as listed below. Each task has its own chairperson. Each task chairperson shall prepare a budget and submit it to the Budget Committee for approval.
o Santa Claus’ visit to Holiday Hills in December.
o Halloween Parade (Party?) in October.
o Easter Egg Hunt
o Community Garage Sale(s)
Streets and Highways Committee:
This Committee is the liaison between the civic association, county and the state for street, street signs, speed bumps, storm drains and all other maintenance to be performed by county or state agencies. It is responsible for securing bids for snow removal and presenting them to the council for approval. Notifies the county of for distribution of sand barrels for community use the first part of December.
Delegates to Council of Civic Organizations Brandywine Hundred:
Two (2) persons to act as delegates to attend meetings held by the Council of Civic Organizations Brandywine Hundred. Information obtained to back to the council.
Delegates to Civic League for New Castle County:
Two (2) persons to act as delegates to attend meetings held by the Civic League for New Castle County. Information obtained to back to the council.
