Section 1
The Board of Directors shall consist of the three elected officers as set forth above plus representatives from the sub-areas.
Section 2. Powers and Duties
Sub Section 2A
Powers. Subject to the provisions and limitations of: (a) the California Non-profit Public Benefit Corporation Law, (b) Section 501(c)(4) of the Internal Revenue Code, (c)any other applicable law and(d) any provisions of the bylaws relating to actions requiring approval by the general membership, the activities and affairs of the SCHA shall be managed under the direction of the Board.
Sub Section 2B
Emergency Power. In the event of an emergency, determined by the President, or by the Vice President in the absence of the President, two or more officers and at least half of the designated sub-area representatives sitting in emergency session shall have the power of the Board.
Sub Section 2C
The Board shall be the planning and policy making body responsible for the affairs and funds of the SCHA It shall perform such other duties as are expressly provided by the bylaws or as directed by the President.
Sub Section 2D
The President, Vice-President and Secretary/Treasurer shall be authorized to sign checks to satisfy financial obligations of the SCHA. The signature of two officers is required.
Sub Section 2E
The Board shall meet at least twice a year. Ten day notice is required for these mandatory meetings. Other meetings may be called by the President on shorter notice using telephone, e-mail or door-to-door communications.
