I've just found out, that over the past months, the BOD has secretly met with Stratus and HEB about track 103. They've made agreements, arrangements and personal deals with Stratus that are not in the best interest of the membership. They have breached their Fiduciary Duty.
For some time, they promised never to let a fast food restaurant in or around Circle C. They have just recently agreed to a fast food restaurant on track 103. Also, even after being asked by numerous members, the BOD has chosen NOT to meet with the members, NOT to share details, NOT to ask the membership what we think about our options. Other community HOA's are meeting with their membership about this important commercial development. Why not our HOA?
One of the deals that I've just found out about happened only a couple of weeks ago. County Courthouse records show on October 27, 2003, a transaction between CCHOA board director Jim O'Reilly and Circle C Land Corp took place. Circle C Land Corp is a subsidiary of Stratus.
A commercially zoned acre of land, located on MO-PAC Expressway South, between LaCross and HWY 45, is now owned by James Michael O'Reilly and Susan T. O'Reilly. The amount of the transaction for the commercial acre on Mo-Pac is recorded as $20.00 (Twenty Dollars). The transaction between the board member and Stratus was not disclosed to the members of the CCHOA.
The timing is surreal and this personal transaction of Jim O'Reilly's is an insult to every member of the CCHOA.
FIDUCIARY DUTY - An obligation to act in the best interest of another party. For instance, a corporation's board member has a fiduciary duty to the shareholders, a trustee has a fiduciary duty to the trust's beneficiaries, and an attorney has a fiduciary duty to a client.
